Uplifting Women by MGA
These terms and conditions (hereinafter referred to as T&C) outline rules and regulations for the use of Uplifting Women by MGA (hereinafter referred to as UPLW) as a website and as a membership-based platform owned solely by María Gabriela Arguello. UPLW, the intellectual property related to UPLW, all the content and information in UPLW as a platform and website as well as all confidential information (as such term is defined in these T&C), are the exclusive property of María Gabriela Arguello.
UPLW purpose and nature
UPLW is a platform that allows national and foreign organizations to be listed as members and as such be able to, through the advice provided by UPLW, to generate and establish relationships that allow: a) for local organizations: to identify and contact either foreign or other local organizations that may be interested in supporting the execution the object of the local organization; b) For foreign organizations: identify suitable local organizations (according to their profile and purpose) that may be recipients of support for the execution of their activities.
The nature of UPLW within the framework of its activities and by allowing the use of its platform and content, is that of a mere intermediary who will undertake activities with the purpose of (but will not guarantee) identifying potential opportunities for collaboration between members that are national organizations and members that are foreign organizations.
Neither María Gabriela Arguello nor UPLW in any way and under no circumstances guarantees to any person that by being a member of UPLW they will obtain any type of asset or resource for the execution of their activities or will establish a relationship of any nature with another person.
Scope of Application
These T&C are applicable to, and UPLW will assume that are accept without reservation by, to the following subjects:
– Any person (natural, juridical or of any other nature) that accesses UPLW website.
– Any person (natural, juridical or of any other nature) that is admitted by UPLW, according to UPLW internal policies and criteria, as a member or user of UPLW subscription-based programs.
– Any person (natural, juridical or of any other nature) that provides any type of service or good to UPLW, including third party contractors, employees, service providers and similar.
– Any person that has delivered to UPLW, by any means acceptable by UPLW to its sole criteria, an acceptance of these T&C.
Do not continue to use Uplifting Women by MGA if you do not agree to take all of the terms and conditions stated on this page.
The following terminology applies to these T&C:
– “Member”, “You” and “Your” refers to any person that is admitted as a member of UPLW under any of UPLW membership plans and according to UPLW´s sole criteria and internal policies.
– “Subject” any person (natural, juridical or of any other nature) mentioned in the Scope of Application section of these T&C.
– UPLW refers to Uplifting Women by MGA, a website and membership based platform owned by María Gabriela Arguello.
Cookies

Intellectual Property and Confidential Information
Save for intellectual property owned by the Members or Subjects and unless otherwise stated, María Gabriela Arguello owns any and all the intellectual property rights for all material, content and information on UPLW. All intellectual property rights are reserved unless otherwise expressly stated in writing by María Gabriela Arguello.
Members and Subjects must not:
Republish material or confidential information from UPLW.
Sell, rent or sub-license material or confidential information from UPLW.
Reproduce, duplicate or copy material or confidential information from UPLW.
Redistribute content or confidential information from UPLW.
Members and subjects understand and accept that all the information to which they have access and that is in any way related to UPLW or the services that UPLW provides or any activity that UPLW undertakes, will be considered as CONFIDENTIAL INFORMATION and therefore it shall not be disclosed by Members and/or subjects or their workers, agents and / or contractors of any third party without the prior, express and written consent of María Gabriela Arguello. Additionally, it will be understood as CONFIDENTIAL INFORMATION, (and therefore as such is subject to protection according to these T&C) any analysis, statistics, reports, designs, strategies, membership information, know how, manuals, work flows, list of services, list of members, list of clients, lists of provider, and any other information or documentation to which a Member or a Subject has access by
any means and that is related to, has been generated by, is contained in UPLW platforms and websites.
In relation to the COFIDENTIAL INFORMATION, Members and Subjects shall:
1. Not to disclose to any third party, confidential information to which it has access.
2. Require prior written authorization from María Gabriela Arguello prior to disclosing confidential information to which it has access.
3. Oblige its workers, contractors and / or agents to respect and submit to the obligation of confidentiality stipulated in these T&C.
4. Not to grant, transfer, distribute, assign, provide, seek or obtain in favor of himself or a third party, any right, privilege, benefit or gain derived or assumed by virtue of the confidential information to which he has access.
In case that María Gabriela Arguello deems that any Member or Subject has in any way, breached the confidentiality obligations established herein, then María Gabriela Arguello, to her own discretion and criteria, may exercise any legal action she deems necessary, including the request of payment of damages she deems have been caused, as well as any other legal action permitted by law .

These organizations may link to our home page, to publications or to other Website information so long as the link: (a) is not in any way deceptive; (b) does not falsely imply sponsorship, endorsement or approval of the linking party and its products and/or services; and (c) fits within the context of the linking party’s site (d) is not in any way as deemed by María Gabriela Arguello, in infringement of these T&C.
María Gabriela Arguello reserves the right to request that any member or subject removes all links or any particular link to UPLW. Members and Subjects agree to immediately remove all links to UPLW upon request. María Gabriela Arguello reserves the right to amend these terms and conditions and it’s linking policy at any time.
Membership application and Membership Cancellation
Any organization interested in being listed as a member of UPLW membership program will submit a membership application to María Gabriela Arguello who will evaluate said application according to her criteria and internal policies. María Gabriela Arguello may, at her sole discretion, approve or deny any membership application without further liability
to the applicant. María Gabriela Arguello does not guarantee in any way whatsoever the admission to any membership option to any person or organization.
María Gabriela Arguello may, at any time and without any liability to any member, cancel any membership to UPLW. In case of any cancellation of membership, no refunds shall be made unless previously agreed by María Gabriela Arguello in writing.
Miscellaneous
1. These T&C may be modified, amended or updated in all or in part, by María Gabriela Arguello at any time.
2. No Member shall transfer or assign, in all or in part, any of its rights or obligations under these T&C unless such transfer or assignment is previously authorized in writing by María Gabriela Arguello. María Gabriela Arguello may transfer, in all or in part, any of its rights or obligations under these T&C.
3. These T&C shall be governed by and will be interpreted in accordance with the laws of Nicaragua. Any dispute arising out of these T&C, including any dispute concerning the existence or validity of these T&C, that cannot be settled amicably between the Parties will be decided by arbitration. The arbitration proceedings will take place in Managua, and the language of the proceedings will be Spanish and in accordance to the procedures and requirements established by Law 540 “Law of Mediation and Arbitration”.
4. If any provision of these T&C is declared null or unenforceable by any competent authority and in accordance with a resolution issued in accordance with the law, the remaining provisions that have not been declared null or unenforceable will continue to exist and apply with their full and total validity.
